The Board of Directors of the Company wishes to announce that the controlling shareholders of the Company, BHB and LTAT, have informed the Company that they have entered into a strategic collaboration agreement with KLK on 24 August 2023 in relation to, among others, the following:

(i) proposed disposal by BHB of a total of 739,199,966 ordinary shares in BPlant (“BPlant Shares”), representing 33% and 1 share of the total issued shares of BPlant, to KLK for a cash consideration of RM1,145,759,947.30 or RM1.55 per BPlant Share (“Proposed Disposal”);

(ii) proposed mandatory take-over offer to acquire all remaining BPlant Shares not already owned by BHB, LTAT, KLK resulting from the Proposed Disposal at a cash offer price of RM1.55 per BPlant Share; and

(iii) improving the operational efficiencies and crude palm oil yields of the plantations of BPlant over the long-term

(collectively, the "Proposed Strategic Collaboration").
