The terms used herein shall have the same meaning as those defined in the announcement dated 1 August 2018, unless otherwise stated.

We refer to the announcement dated 1 August 2018 in relation to the Proposed Acquisition.

As at the date of this announcement, all of the CPs of the SPA have been fulfilled, save for the removal of the Lubah Equity Restriction. The Conditional Period for the SPA is 3 months from 1 August 2018, being the date of the SPA, with an automatic extension of 3 months expiring on 31 January 2019 or such other extension to be mutually agreed between BRNSB and the Vendors for the fulfilment of the CPs.

On behalf of the Board, Affin Hwang IB wishes to announce that at the request of the Vendors, BRNSB had on 31 January 2019 agreed to grant an extension of the Conditional Period for a period of 2 months commencing from 1 February 2019 to fulfill the last CPs of the SPA. For avoidance of doubt, all other terms and conditions of the SPA remain unchanged.

The Company will make further announcements in relation to the Proposed Acquisition as and when required under the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
