The terms used herein shall have the same meaning as those defined in the announcements dated 1 August 2018 and 25 March 2019, unless otherwise stated.

We refer to the announcements dated 1 August 2018, 31 January 2019, 25 March 2019 and 29 April 2019 in relation to the Proposed Acquisition.

The Conditional Period to fulfill all the CPs of the Lubah SPA is 12 months from 25 March 2019, being the date of the Lubah SPA, with an automatic extension of 3 months expiring on 24 June 2020 or such other extension to be mutually agreed between BRNSB and Lubah.

As at the date of this announcement, all of the CPs of the Lubah SPA have been fulfilled, save for the removal of the Lubah Equity Restriction.

On behalf of the Board, Affin Hwang IB wishes to announce that the Conditional Period for the Lubah SPA has been extended for a further period of 2 months up to 24 August 2020, following the occurrence of a force majeure event, which was the Movement Control Order under the Prevention and Control of Infectious Diseases Act 1988 as provided under the Lubah SPA. For avoidance of doubt, all other terms and conditions of the Lubah SPA remain unchanged.

The Company will make further announcement in relation to the Proposed Acquisition of Lubah as and when required under the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
