The terms used herein shall have the same meaning as those defined in the announcements dated 1 August 2018 and 25 March 2019, unless otherwise stated.
We refer to the announcements dated 1 August 2018, 31 January 2019, 25 March 2019, 29 April 2019 and 25 June 2020 in relation to the Proposed Acquisition.
On behalf of the Board, Affin Hwang IB wishes to announce that the Lubah SPA has lapsed on 25 August 2020 due to the non-fulfillment of one (1) of the CPs stipulated in the Lubah SPA within the extended Conditional Period of up to 24 August 2020 by Lubah.
Pursuant to the Lubah SPA, Lubah shall refund BRNSB in full the deposit, without any accrued interest, amounting to RM3.82 million, being 10% of the Lubah Purchase Consideration, within ten (10) business days from 25 August 2020, being the date of the notice issued jointly by Lubah and BRNSB.
The lapse of the Lubah SPA is not expected to have material financial impact on the earnings and NA per share of BPB for the financial year ending 31 December 2020.
